Supplement, dated February 22, 1995, to the Prospectus,dated May 1, 1994,
of Seligman Common Stock Fund, Inc. (the "Fund")
Effective February 22, 1995 through May 31, 1995, broker/dealers will
receive the full sales load in accordance with the sales load schedule contained
in the Fund's Prospectus (up to 4.75%) on sales of Class A shares of the Fund.
After May, 31, 1995, regular broker/dealer concessions (up to 4.25%) will be
