Explanation of Responses:
(01) Vlasic Foods International Inc.'s authorized capital stock presently
consists of 100 shares of Vlasic Common Stock, no par value. All such
shares are issued and outstanding and are owned by Campbell Soup
Company. Vlasic Foods, under the charter to be adopted and pursuant
to a Registration Statement on Form 10 filed with the Securities and
Exchange Commission will have authority to issue 60,000,000 shares, of
which 4,000,000 will be Preferred Stock, without par value and
56,000,000 will be shares of Vlasic Common Stock. Distribution of
shares of Vlasic Common Stock to holders of Campbell stock, pursuant
to the Distribution Agreement, filed as an exhibit to the Form 10, is
scheduled to take place on March 30, 1998.
