         Central and South West Corporation ("CSW"), a Delaware corporation
and a registered holding company under the Public Utility Holding Company Act
of 1935, as amended (the "Act"), and its subsidiary companies Central Power
and Light Company ("CPL"), Public Service Company of Oklahoma ("PSO"),
Southwestern Electric Power Company ("SWEPCO"), West Texas Utilities Company
("WTU"), Transok, Inc. ("Transok") and Central and South West Services, Inc.
("CSWS" and together with CPL, PSO, SWEPCO, WTU and Transok, the
"Subsidiaries"), hereby file this Post-Effective Amendment No. 12 to the Form
U-1 Application-Declaration in this File No. 70-8157 (the "Application-
Declaration") for the purposes of amending Items 1 and 6 to include the
following additional information.  In all other respects, the Application-
Declaration as previously filed and amended will remain the same.

Item 1.  Description of Proposed Transaction.
         Item 1 is hereby amended to include the following additional
information:
         On February 4, 1994, the Securities and Exchange Commission
("Commission") issued a notice in this file (HCAR No. 35-25986) relating to
proposed increases in borrowing levels for CSW and its subsidiaries, CPL and
CSWS.  On March 18, 1994, the Commission issued an order in this file (HCAR
No. 35-26007) approving certain of the proposed increases in borrowing
authority but reserving jurisdiction over $20 million of CSW's proposed
increase and $60 million of CSWS' proposed increase, pending completion of 
the record.

         CSWS now requests that jurisdiction be released over $20 million of
its $60 million proposed increase in its borrowing authority.  CSWS's 
current borrowing limit as authorized by the Commission in this file (HCAR 
No. 35-25777; March 31, 1993) is $90 million.  During the last 30 days CSWS's
highest borrowing amount was approximately $89.1 million reached on June 3,
1994.
         The increase in CSWS's Money Pool authorization is necessary because
its short-term borrowing requirements are subject to wide intra-period
fluctuations in the ordinary course of business due primarily to the timing of
CSWS's billing cycles and collections and the varying amounts billed to the
subsidiary companies and CSW.  Intra-period fluctuations for CSWS are expected
to increase during 1994 due to services to be provided by CSWS (i) to WTU in
connection with a renewable energy source project (the "Renewables Project")
and (ii) to CSW Energy, Inc. and its affiliates ("Energy") in connection with
projects authorized by the Commission by orders dated September 28, 1990,
November 22, 1991 and December 31, 1992 (HCAR No. 25162, 25414 and 25728; 70-
7758) and August 6, 1993 (HCAR No. 25866; 70-8205), and orders relating to
specific projects authorized thereunder.  CSWS will provide support services
for the Renewables Project and the Energy projects, including engineering,
research and development support, accounting services, and information systems
support.  CSWS will incur expenses in connection with these projects
throughout a monthly business cycle and render a bill to its affiliate at the
end of such cycle.  One result of CSWS's activity on these projects is to
increase CSWS's short-term borrowing needs in order to fund its activities
during the period between the time services are provided and the time that a
bill is rendered and paid.

         Exhibit 10 sets forth a table showing CSWS's forecast of the minimum
and maximum short-term debt levels for the second quarter of 1994 through the
first quarter of 1995.  The table indicates that CSWS's maximum short-term
debt needs are projected to exceed its current CSW Money Pool authorization in
the second quarter of 1994.  The increase in CSWS's money pool authorization
is intended to accommodate intra-period variations.
         CSWS therefore requests that jurisdiction be released over $20
million of its $60 million proposed increase over which jurisdiction was
reserved in the Commission's order dated March 18, 1994 (HCAR No. 35-26007).
