       Central and South West Corporation ("CSW"), a Delaware corporation
and a registered holding company under the Public Utility Holding Company Act
of 1935, as amended (the "Act"), acting on behalf of NORWEB plc ("NORWEB"), a
corporation organized under the laws of the United Kingdom, hereby notifies
the Securities and Exchange Commission (the "Commission") that NORWEB is, and
on behalf of NORWEB claims status for NORWEB as, a foreign utility company
("FUCO") within the meaning of Section 33 of the Act.  

Item 1.Name of entity(ies) on whose behalf foreign utility company status
       is claimed, its (their) business address(es), and a description of
       the facilities used for the generation, transmission and
       distribution of electric energy for sale or for the distribution
       at retail of natural or manufactured gas.  Identity of each person
       that holds five percent (5%) or more of any class of voting
       securities of the foreign utility company(ies) and description of
       the amount and nature of the interest.

       The name and business address of the company on whose behalf FUCO
status is claimed is NORWEB plc, Talbot Road, Manchester M16 0HQ, United
Kingdom.

       NORWEB is a "regional electricity company" (or "REC") which
purchases and sells electricity to retail customers in the United Kingdom. 
Based on NORWEB's 1994 annual report to shareholders, the principal assets of
NORWEB consist of the distribution facilities used to serve electric customers
in the Northwest of England.  NORWEB is also engaged in the generation of
electric energy through a subsidiary, NORWEB Generation Ltd.  The principal
investments of NORWEB Generation Ltd. and its subsidiaries are:  (i) a 50%
interest in the power station project at Keadby, South Humberside, in the
United Kingdom, which is expected to be commissioned before the end of 1995;
(ii) a 20% interest in Roosecote power station in the United Kingdom; (iii) a
number of investments in small scale renewable energy generation projects,
including landfill gas generation, a hydro-electric scheme on the Manchester
Ship Canal in the United Kingdom, and Balgonie hydro station on the River
Leven in Fife, Scotland; and (iv) a 50% interest in a 240 MW qualifying
cogeneration facility in Gordonsville, Virginia that is owned by Gordonsville
Energy, L.P., which was determined to be an exempt wholesale generator
pursuant to Section 32 of the Act by the Federal Energy Regulatory Commission
in Gordonsville Energy, L.P., 68 FERC (Paragraph) 61,246 (1994).  NORWEB 
also holds an 8.2% interest in National Grid Holdings plc, which, through a 
subsidiary, owns and manages the national electric power transmission grid of 
England and Wales.  The balance of the equity of National Grid Holdings plc 
is held by the other RECs.  In addition, through NORWEB Gas Limited (a joint 
venture with Utilicorp in which NORWEB has a 75% interest), NORWEB provides gas 
at retail to customers in the United Kingdom using over 2,500 therms per annum.

       NORWEB has issued and outstanding a single class of capital
shares, "ordinary shares".  On the basis of recent information set forth in
public reports, CSW understands that 5% or more of the capital shares of
NORWEB may be owned by each of the following entities:  Prudential Corporation
group of companies (which CSW understands is in no way affiliated with The
Prudential Insurance Company of America) (approximately 11%) and Bank of New
York (approximately 5%).

       As of the date hereof, CSW owned no shares of capital stock of
NORWEB.  CSW may acquire all or part of the issued and outstanding capital
shares (including shares held through American Depositary Receipts) of NORWEB
and/or options in respect of such shares.  Such shares may be acquired through
open market and/or privately negotiated purchases or by public offer to
purchase, either directly by CSW or indirectly through CSW's wholly owned
subsidiary CSW International, Inc. and/or one or more Project Parent(s)
established pursuant to the authority granted in the Commission's order in
File No. 70-8423, Release No. 35-26156 (November 3, 1994).


Item 2.   Name of any domestic associate public-utility companies and, if
          applicable, its holding company, and description of the
          relationship between the foreign utility company and such company,
          and the purchase price paid by any such domestic associate public-
          utility company for its interest in the foreign utility company.

          The following companies are domestic public utility companies of
CSW:  Central Power and Light Company, Public Service Company of Oklahoma ,
Southwestern Electric Power Company, and West Texas Utilities Company.  None
of the foregoing domestic public utility companies has made an investment in
or has any contractual relationship with NORWEB, and no such investment or
contractual relationship is contemplated.

          Because CSW is a registered holding company, state certifications
under Section 33(a)(2) are not required.
