Item 1 is answered by reference to (i) the section entitled "Description

The registration of the Depositary Shares under this Form 8-A is voluntary
as permitted by Section 12(g) of the Securities Exchange Act of 1934, as
amended (the "Exchange Act"). The Depositary Shares registered hereunder
were issued October 13, 1993. At December 31, 1993, the Depositary Shares
were held of record, within the meaning of Section 12(g), by less than 500
persons. The Depositary Shares merely represent ownership interests in
Registrant's 6.625% Cumulative Preferred Stock, par value $100 per share and
are not a separate class of security from the Cumulative Preferred Stock, par
value $100 per share (the "Preferred Stock"). The Preferred Stock has been
previously registered as a class under Section 12(g). The Depositary Shares
do not constitute a class of securities within the meaning of Registrant's
Restated Articles of Incorporation or the Illinois Business Corporation Act.
The Depositary Shares are being registered hereunder so Registrant will be
in compliance with Section 12(g) in the event that Depositary Shares are,
in the future, held by more than 500 persons and the Depositary Shares are
deemed, for purposes of the Exchange Act only, to constitute a class of
securities separate from the Preferred Stock.
