PART III -- NARRATIVE
State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof,
could not be filed within the prescribed time period.
Registrant owns interests in oil and gas properties in a foreign country through a subsidiary which has a 50%
interest in a foreign entity that owns the interests in the oil and gas properties. The financial statements of both
entities will have to be consolidated with those of the Registrant. The Registrant has been advised that delays have been
encountered in obtaining the financial information for such entities. Therefore, personnel of the Registrant have been
unable to complete the required financial information for the fiscal year ended November 30, 1996, in order for the
Registrant's Annual Report on Form 10-K to be filed in the prescribed time period.

Registrant will report a net loss for fiscal year 1996. Registrant is in the process of quantifying the net loss. Registrant
previously reported a net loss of $672,000 for the nine months ended August 31, 1996, and reported a net loss of $704,000 for
fiscal year 1995. The fiscal 1996 net loss was primarily related to the Registrant's foreign operations.
