This Amendment No. 3 and Final Amendment to Schedule 14D-1 relates to the
offer by Chamres, Inc., a Delaware corporation (the "Purchaser") and an indirect
wholly-owned subsidiary of The Chase Manhattan Bank (National Association), a
national banking association ("Parent"), to purchase all outstanding shares of
Common Stock, par value $.04 per share (the "Common Stock"), of American
Residential Holding Corporation, a Delaware corporation (the "Company"), at a
price of $28.25 per share of Common Stock, net to seller in cash, upon the terms
and subject to the conditions set forth in the Offer to Purchase dated August 9,
1994 and in the related Letter of Transmittal, copies of which were attached as
Exhibits 99.(a)(1) and 99.(a)(2) to the Schedule 14D-1 filed with the Securities
and Exchange Commission on August 9, 1994. The purpose of this Amendment No. 3
is to amend and supplement Item 6 of the Schedule 14D-1.
ITEM 6. INTEREST IN SECURITIES OF THE SUBJECT COMPANY.
Item 6 is hereby amended and supplemented as follows:
On September 14, 1994, the Purchaser accepted for payment, and
paid for, 367,594 shares of Common Stock that were tendered pursuant to pledges
of guaranteed delivery. As a consequence, a total of 11,706,964 shares of
Common Stock have been accepted and paid for by the Purchaser in the Offer.
