                          INTEREST RATE

     The Fixed Rate Bearer Notes (the "Notes") to which this
Pricing Supplement relates bears an interest rate that varies in
accordance with the following schedule (unless earlier redeemed
at the option of the Company, as provided on the front of this
Pricing Supplement):

     2.5%, from the Issue Date to but not including June 28,
1995;
     4.00%, from June 28, 1995 to but not including September 28,
1998; and
     5.00%, from September 28, 1998 to but not including Stated
Maturity.  

          For the period from the Issue Date to but not including
June 28, 1995, the amount of interest will be computed on the
basis of Actual over 360.  From June 28, 1995 to but not
including the date on which the Notes are redeemed or Stated
Maturity, the amount of interest will be computed on the basis of
30 over 360.

          The Notes may be redeemed on September 28, 1998.  (The
Trustee will provide at least 30 but not more than 60 days notice
of any such redemption as provided in the Prospectus Supplement.) 
Accordingly, there is no assurance that the Notes will ever bear
an interest rate above 4.00%.    

                   DESCRIPTION OF JAPANESE YEN

          The yen is the national currency of Japan.  Japanese
bank notes are issued by The Bank of Japan, which was established
in 1882 and is the country's central bank and sole bank of issue.
On March 24, 1995, the noon buying rate for cable transfers in
New York City payable in yen, as reported by the Federal Reserve
Bank of New York, was Yen 89.10 = $1.00.

          The exchange rate between the yen and the dollar is at
any moment a result of the supply of and the demand for the two
currencies, and changes in the rate result over time from the
interaction of many factors directly or indirectly affecting
economic conditions in Japan and in the United States, including
economic and political developments in other countries.  Of
particular importance are rates of inflation, interest rate
levels, the balance of payments (both on capital and current
account) and the extent of governmental surpluses or deficits in
Japan and in the United States, all of which are in turn
sensitive to the monetary, fiscal and trade policies pursued by
the governments of Japan, the United States and other countries
important to international trade and finance.  In recent years,
rates of exchange between the U.S. dollar and the Japanese yen
have been highly volatile.
