Item 1. Description of Proposed Transactions.
The last sentence of the seventh paragraph of the material added
to Item 1 in Amendment No. 3 is hereby amended to read in its entirety
as follows:
"The Company will not use any savings derived from the
refunding transaction to acquire or otherwise invest in an
EWG or foreign utility company."
