Item 5. Procedure
Item 5 is hereby amended by the addition of the following
paragraph at the end of Item 5:
The Company requests that the Commission's order
authorizing the above transactions contain
reservations of jurisdiction over (i) the proposed
use of a Reimbursement Agreement as security for, and
in connection with, the issuance and sale of Tax-
Exempt Bonds and (ii) the proposed issuance and sale
of Debentures, in each case pending completion of the
record with respect thereto.
