Item 5. Procedure.
The last paragraph of Item 5 is hereby amended in its entirety
and is restated to read as follows:
The Company requests that the Commission's Order issued on May
9, 1995 release the reservation of jurisdiction over the proposed
issuance and sale of Debentures, but continue the reservation of
jurisdiction over the execution and performance under any
Reimbursement Agreement underlying any letter of credit issued as
security for the Company's obligations in connection with the
issuance and sale of Tax-Exempt Bonds pending completion of the
record with respect thereto.
