Supplement dated April 28, 1995 to Prospectus dated August 31, 1994
On March 30, 1995, Douglassville Water Company ("Douglassville") was merged
into Glen Alsace Water Company in a Pennsylvania statutory merger with the
consideration coming from Citizens Utilities Company.
In connection with the merger, the following three shareholders of
Douglassville will be paid in cash and will be issued the following number of
shares of Citizens Series B common stock.
