ITEM 8. ADDITIONAL INFORMATION
The conditions to the Offer described under Section 6. "Certain
Conditions of the Offer" of the Offer to Purchase are hereby amended to provide
that the Company will only terminate the Offer under conditions (a), (b), or
(f) thereunder if, in the Company's reasonable judgment (as opposed to its sole
judgment), there is an occurrence that causes the described effect.
