State below in reasonable detail the reasons why Forms 10-K,
20-F, 11-K, 10-Q, N-SAR, or the transition report portion
thereof, could not be filed within the prescribed time period.

The Company is negotiating a new credit facility that will
have an impact on the disclosures contained in the Company's
Form 10-K.  The Company anticipates that the terms of the
credit arrangements will be finalized within the next several
days and that an extension will enable the Company to include
in its Form 10-K appropriate disclosures relative to the
anticipated credit arrangements.

made.

Net margins from continuing operations were $69.4 million for
the fiscal year ended June 26, 1999 as compared to a net loss
from continuing operations of $(26.1) million for the fiscal
year ended July 1, 2000.  The decline in net margins was
primarily due to depressed sales prices for poultry products
and increased operating costs during fiscal 2000.
