                                   NARRATIVE

    State below in reasonable detail the reasons why Forms 10-K, 10-KSB, 11-K,
20-F, 10-Q, 10-QSB, N-SAR or the transition report or portion thereof, could not
be filed within the prescribed time period. (Attach extra sheets if needed.)

1.  A supplemental report from the Registrant's independent petroleum engineers
was needed for the accountants to make the required SFAS No. 121 calculation.

2.  Depletion expense calculation was modified requiring additional time.

The Registrant prepared its financial statements for the fiscal year ended
February 29, 2000, and such financial statements were audited by the
Registrant's independent accountants in preparation for the timely filing of
Form 10-KSB on May 30, 2000. However, the Registrant has recently become aware
of a potential valuation issue with respect to certain coal properties it owns
and Management's assessment is not complete as of May 30, 2000. Additional time
is needed to assess any potential adjustments and to complete the appropriate
disclosures for inclusion in the "Notes to Financial Statements" and
"Management's Discussion and Analysis of Liquidity and Capital Resources"
sections of its Form 10-KSB.

                             GENERAL INSTRUCTIONS

1.  This form is required by Rule 12b-25 of the General Rules and Regulations
    under the Securities Exchange Act of 1934.

2.  One signed original and four conformed copies of this form and amendments
    thereto must be completed and filed with the Securities and Exchange
    Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
    General Rules and Regulations under the Act.  The information contained in
    or filed with the form will be made a matter of public record in the
    Commission files.

3.  A manually signed copy of the form and amendments thereto shall be filed
    with each national securities exchange on which any class of securities of
    the registrant is registered.

EXPLANATION FOR PART IV, ITEM (3)

        The Registrant anticipates reporting a net loss of approximately $38,100
for its fiscal year ended February 28, 1999, compared to net income of $410,791
in the prior fiscal year. The net loss was primarily the result of substantially
lower oil and gas revenues. Absent a significant gain recognized on the sale of
a property in the first quarter of the fiscal year, the Registrant would have
incurred a much greater net loss for the 1999 fiscal year as the Registrant
totaled an approximate $1,535,600 loss from operations.
