TriStar Capital Corporation ("TCC")

Gentlemen:
In accordance with the terms and conditions of Rule 24 under the Public
Utility Holding Company Act of 1935, and the Order of the Commission dated
September 29, 1993 authorizing an aggregate investment of $2,100,000.00 by CG
in TCC as more fully described in the Application-Declaration. The undersigned
hereby certifies that during the calendar quarter from October 1 through
December 31, 1993, TCC received a capital contribution (from CG) in the amount
of $575,000. TCC invested $500,000 in its subsidiary, TriStar Gas
Technologies, which in turn invested in the Enertek project. The $75,000.00
balance was used to relieve TCC's installment promissory note to CG.
