Post-Effective Amendment No. 3 to the Application-Declaration
previously filed is hereby amended in its entirety by the following:
Item 1. Description of Proposed Transaction.
(a) Furnish a reasonably detailed and precise description of the
proposed transaction, including a statement of the reasons why it is desired to
consummate the transaction and the anticipated effect thereof. If the
transaction is part of a general program, describe the program and its relation
to the proposed transaction.
Columbia requests the authorization of the Commission to increase the
amount of short-term borrowings of Columbia Ohio by $40 million over the amount
previously authorized by the Commission for the period ending December 31,
1994. Higher than anticipated prices for natural gas have raised the potential
for additional short-term borrowing by Columbia Ohio for the period ending
December 31, 1994. The Commission had previously authorized $162 million in
short-term financing for Columbia Ohio. Columbia requests that the Commission
increase the authorized amount of short-term borrowing by Columbia Ohio to $202
million in order to provide an adequate cushion against additional working
capital requirements. The requested increase represents a contingency for
higher gas prices of up to $1.00 per Mcf for the approximately 40 Bcf of
inventory gas yet to be purchased by Columbia Ohio for the 1994-95 winter
heating season. This borrowing, if needed, is a timing issue since the higher

costs will be collected through increased gas costs in subsequent periods.
Funds will be advanced, repaid and reborrowed through December
31, 1994, with all such borrowings to be fully repaid by April 30, 1995. All
short-term borrowings from Columbia will have the same terms and conditions as
previously authorized by Order of the Commission dated September 29, 1993
(Release No. 35-25896; 70-8219)
In connection with the Columbia Ohio proposed increase, Columbia
requests Commission authorization to provide a total of $438.7 million in
short-term borrowings to its subsidiaries, an increase of $40 million over the
$398.7 million previously authorized by the Commission. The Commission has
reserved jurisdiction over an additional $3 million of short-term borrowings.
Release of that reservation of jurisdiction is not sought in this
Post-Effective Amendment No. 4.
Item 2. Fees, Commissions and Expenses.
(a) State (1) the fees, commissions and expenses paid or incurred,
or to be paid or incurred, directly or indirectly, in connection with the
proposed transaction by the applicant or declarant or any associate company
thereof, and (2) if the proposed transaction involves the sale os securities at
competitive bidding, the fees and expenses to be paid to counsel selected by
applicant or declarant to act for the successful bidder.

(b) If any person to whom fees or commissions have been or are to be
paid in connection with the proposed transaction is an associate company or an
affiliate of the applicant or declarant, or is an affiliate of an associate
company, set forth the facts with respect thereto.
Columbia Gas System Service Corporation, a wholly-owned subsidiary of
The Columbia Gas System, Inc., will perform certain services at cost as set
forth in Item 2(a) above.
Item 5. Procedure.
(a) State the date when Commission action is requested. If the date
is less than 40 days from the date of the original filing, set forth the
reasons for acceleration.
It is requested that the Commission issue its Notice by June 24, 1994
and its Supplemental Order on or before July 27, 1994.

Commission pursuant to Sections 6, 7, 9, 10, 12(b) and 12(f) under the Public
Utility Holding Company Act of 1935 (the "Act") and Rules 43, 45 and 50
thereunder.
Columbia proposes to increase the amount of short-term borrowings of
Columbia Ohio, one of its regulated subsidiaries, by $40 million over the
amount previously authorized for the period. Higher than anticipated prices
for natural gas have raised the potential for additional short-term borrowing
by Columbia Ohio for the period. The Commission had previously authorized $162

applicants- declarants at the address specified above. Proof of service (by
