The Application-Declaration as previously filed is hereby amended as
follows:
Item 1. Description of Proposed Transaction
The following is inserted at the end of Item 1 of Amendment No. 8 to
the Application-Declaration at Page 15:
TVC undertakes that, on behalf of itself, the TriStar Subsidiaries and
the Project Parents, it will provide on annual and semiannual bases within 60
days of the end of its fiscal year and within 60 days of each December 31 and
June 30, respectively, a certificate of notification under Rule 24 of the Act
("Certificate"). The Certificate will include for the period covered by the
report: (A) annually, the Form U-13-60, appropriately modified, detailing all
of TVC's activities, including: (i) providing services to affiliated EWGs
and/or FUCOs and the number and percentage of Columbia system employees used to
provide such services, and (ii) providing fuel management, operations and
maintenance and related activities to nonassociate entities; and, (B)
semiannually for TVC, (1) a balance sheet; (2) an income statement; (3)
cash flow statements; (4) a narrative description of preliminary development
and administrative activities and the size, nature and purpose of any new,
direct or indirect, investment activity; and (5) the dates for and amounts
involved in the issuance and sale of common stock by the TriStar Subsidiaries
to TVC and the payment of any dividends to TVC by the TriStar Subsidiaries out
of capital surplus; (6) the dates for and the amount of any short-term
advances and/or capital contributions by TVC to the TriStar Subsidiaries;
(7) the dates for and the amount of any debt cancelled by TVC for any of the
TriStar Subsidiaries.
