The Post-Effective Amendment No. 12 as previously filed is hereby
amended as follows:
Item 1. Description of Proposed Transaction
The first sentence of the last full paragraph on page 3 is deleted
and replaced by the following:
"Prior to June 30, 1996, Columbia Maryland will
refund all outstanding Installment Notes previously sold to
Columbia."
