Columbia previously filed with the Commission post-effective amendments to No.
70-8471 that provided for the refinancing of long term debt for certain
subsidiaries. The refinancing will pass through to the applicable subsidiaries
Columbia's lower debt costs that were obtained when its pre-petition debt was
refinanced upon emergence from Chapter 11.
Under Section 6 of the PUHCA, the Commission exempts itself from oversight
responsibility for certain financing matters if a state commission of the state
in which a subsidiary company is organized and doing business expressly
authorizes the proposed transaction(s). All of Columbia's "utility company"
long term financing activities are expressly authorized by their respective
state commissions with the exception of Columbia Maryland. As such, Columbia
sought and subsequently received Commission approval to refinance Columbia
Maryland's long term debt "Prior to June 31, 1996" (Order dated January 25,
1996, HCAR 35-26462, File No. 70-8471).
For coordination purposes and to minimize administrative burden, Columbia
intends to refinance certain of its subsidiaries at the same time on or around
December 31, 1996. Columbia Kentucky, Columbia Ohio, Columbia Pennsylvania,
and Commonwealth Gas services are in the process of obtaining the appropriate
state regulatory approvals to refinance their long term debt held by Columbia.
As a result, the Post-Effective Amendment No. 13 as previously filed is hereby
amended as follows:
Item 1. Description of Proposed Transaction
The first sentence of the last full paragraph on page 3 is deleted and
replaced by the following:
"On or around December 31, 1996, Columbia Maryland will refund
all outstanding Installment Notes previously sold to Columbia."
