November 14, 1990, as amended by the Prospectus Supplement dated October 16,
1992 (collectively, the "Prospectus") and reflects changes to the Selling
Shareholders information.
This Prospectus Supplement, when attached to the Prospectus, may be used
by the Selling Shareholders in connection with the sale to the public of all or
part of the shares covered by it on the New York Stock Exchange. Such sales
will be at prices and at terms then available in negotiated transactions or
otherwise. The Company will receive no part of the proceeds of any such sale.
Commission expenses and brokerage fees will be payable individually by the
Selling Shareholders.
