Item 5. Other Events
On May 3, 1994, Mr. Richard C. Peters resigned as President and Chief
Executive Officer of the Registrant. Mr. Chriss W. Street, Chairman of
the Board of Directors, has been named interim Chief Executive Officer.
In addition, Fred C. Follmer, currently the Chief Financial Officer of the
Registrant, will also serve as Chief Operating Officer in the interim.
