The Prospectus dated November 30, 1994 is hereby supplemented as
follows:
Question 4 is supplemented to clarify that custodians or trustees of
individual retirement accounts and Keogh plans established by individuals who
are Eligible Persons are eligible to participate in the Plan.
Question 18 is supplemented to clarify that if Common Stock is purchased
by an employee benefit plan or for an individual retirement account or Keogh
plan, income will generally not be recognized until a distribution from such
plan or individual retirement account is made.
