Explanation of Responses:
*Upon direction of the Compensation Committee of the Board of Directors and
pursuant to the terms of the Trust, the Trust distributed said shares for
settlement of stock options under the Company's Stock Option Plan, Employee
Stock Purchase Plan and the Company match under its 401k Plan.
