Consolidated and the other joint parties to this filing hereby amend
their Form U-1 under File No. 70-8415 as follows.
Item 6. Exhibits and Financial Statements

The first two lines of the heading at the top of page 5 of Exhibit H
are changed from "Explanation of Use of Proceeds of Consolidated Natural Gas
Service Company, Inc., CNG Research Company and CNG Coal Company" to
"Explanation of Use of Proceeds of Certain Subsidiaries of Consolidated
Natural Gas Company."
The following paragraph is added at the end of Exhibit H.
"The financing authorization request of CNG Gas Services
Corporation ("GSC") represents an increase of $50 million over the
prior fiscal period's authorization. This increase is in
anticipation of greater working capital requirements resulting from
GSC's growth expectations. This authorization level will satisfy
temporary timing differences in receipts and disbursements, in
addition to the capital expenditures of $700,000 on this Exhibit H."
