Consolidated and the other joint parties to this filing hereby amend
their Form U-1 under File No. 70-8415 as follows.
Item 1. Description of Proposed Transaction

The following section is added at the end of "III. Detailed
Description of Proposed Financing Transactions":
"G. Change in Par Value; Reverse Stock Split
________________________________________
It is also proposed that the par value of the common stock of
West Ohio Gas Company ("WOG") be increased from $5 to $10,000 per
share, and the number of authorized and issued shares be reduced by
a one for two-thousand reverse stock split. The purpose for this
change is to reduce state franchise taxes. WOG has 2,000,000
shares, $5 par value per share, of common stock authorized, of which
1,737,683 shares are issued and outstanding. The increase in par
value and reverse stock split would accordingly result in there
being 1,000 shares, $10,000 par value per share, of WOG common stock
authorized, with 869 of such shares issued and outstanding. The
fractional share (.1585) resulting from the reverse stock split will
be eliminated by Consolidated purchasing such fractional share for
$1,585."
