the prescribed time period.
The Registrant's Form 10-K for the year ended December 31, 1999 cannot be timely
filed without unreasonable effort and expense for the following reason: the
Registrant has been unable to compile and deliver all information requested by
its outside accountants to complete audited financial statements for the fiscal
year ended December 31, 1999. The Registrant expects that the Report on Form
10-K and the financial statements will be filed on or before April 14, 2000.

The Registrant expects to report a loss of approximately $131,143,000
for the fiscal year ended December 31, 1999. The expected losses were caused by
a variety of factors, including, but not limited to, a change in sales mix,
increased member claims and inventory adjustments related to the closing of
distribution centers caused by the completion of the regional distribution
center network.
