transition report or portion thereof, could not be filed within the prescribed
time period.
The registrant was unable to file its quarterly report on Form 10-Q for the
quarter ended March 31, 2000 without unreasonable effort or expense as a result
of delays in completion of quarterly review work being performed by the
company's external accountants. Management expects to finalize the registrant's
filing within the five calendar day extension timeframe.

The registrant expects that its results of operations for the fiscal quarter
ended March 31, 2000 will reflect a significant decline in operating
performance, as compared to the last fiscal year results, largely as a result of
market factors previously disclosed in reports filed during this fiscal year by
the registrant under the Securities Exchange Act of 1934, in addition to plant
upgrade start-up costs experienced during the most recent quarter. The
preparation of the registrant's results of operations for its third fiscal
quarter is ongoing and, therefore, estimates of such results are not currently
available.
