The Company changed its auditors in November 1997 after the conclusion of its
fiscal year end. The transition to the new auditors has caused delays in
preparing and finalizing the Company's year-end audited financial statements.
These delays have resulted primarily from coordination issues relating to the
Company's systems, available staff, including the loss of MIS personnel, and
information, and the requirements of the new auditors. Given their recent
engagement, the new auditors also have needed extra time to review and
understand the Company's operations, documentation and information while
performing their normal year-end audit procedures.

Although the Company has not concluded its audit for the fiscal year ended
October 26, 1997 ("Fiscal 1997"), the Company anticipates the following changes
from the results of operations reported for the fiscal year ended October 27,
1996 ("Fiscal 1996"):
Revenues for Fiscal 1997 were approximately $17.0 million, a decrease of $2.2
million or 11% from revenues of $19.2 million for Fiscal 1996. The Company
estimates a net loss of $2.3 million for Fiscal 1997 compared to a net loss of
$17.4 million for Fiscal 1996. The estimated loss for Fiscal 1997 is
attributable to: a decrease in revenue in the fourth quarter of Fiscal 1997 of
approximately $2.4 million compared to the fourth quarter of Fiscal 1996;
expenses of approximately $470,000 relating to the relocation of the Company's
facilities to Florida; expense of approximately $524,000 resulting from the
amortization of spare and repair related inventory; and approximately $600,000
of losses on a defense related long-term contract received in the fiscal year
ended 1994 and scheduled for final completion in January 1998.
