Item 2. Acquisition or Disposition of Assets
The Registrant sold both Country Club Plaza and Parkside Apartments on May
31, 1996. Country Club Plaza was sold to C&C Plaza, L.L.C., an unrelated party,
for $5,609,000. Parkside Apartments was sold to Bradford A. Phillips, an
unrelated party, for $2,000,000.
The Registrant is currently evaluating its cash needs to determine what
portion of the net proceeds can be distributed to its partners in the near
future.
