                       PART III. NARRATIVE

State below in reasonable detail the reasons why Form 10-K, 11-K,
20-F, 10-Q, N-SAR or the transition report or portion thereof
could not be filed within the prescribed time period.

     As a result of unexpected delays in gathering the data necessary to 
finalize the Registrant's Form 10-Q, largely due to the absence of a 
sufficient number of accounting personnel to complete initial financial 
reporting and other projects, the Report on Form 10-Q could not be timely 
filed without unreasonable effort or expense. In particular, certain officers 
of the Company were engaged, for a substantial portion of the period prior to 
the due date of the subject Report, in the process of work related to 
obtaining working capital for the Company's ongoing operations and the 
Company has until recently experienced difficulties in recruiting
additional accounting personnel within its budgetary contraints.

PART IV - OTHER INFORMATION

For the first quarter of fiscal 1998 ended December 31, 1997, the Company 
expects to report net sales of appromiately $8,000,000 or approximately 
$800,000 more than sales for the first quarter of 1997. Included in first 
quarter 1998 revenues will be approximately $2,000,000 in revenues recognized 
on the site remediation of the Company's holding basis at its Concord 
Facility which is being remediated pursuant to a government contract with 
minimal gross margin, primarily offset by a reduction in foreign penetrator 
blank sales.

The Company expects to report a loss in excess of $1,000,000 for the first 
fiscal quarter of fiscal 1998, as compared to income of $509,000 in the first 
fiscal quarter of fiscal 1997, largely as a result of the incurrence of 
substantial expenses in anticipation of certain business, for which orders 
have not been received in significant amounts.
