     BRIEF DESCRIPTION OF TRANSACTION: On September 11, 1995, Greenfield 
Industries, Inc. ("Greenfield") exercised its option to purchase 630,000 shares 
of the Issuer's Common Stock at a price of $8.00 per share. Such option was 
granted to Greenfield pursuant to the Agreement and Plan of Merger dated August 
11, 1995 among the Issuer, Greenfield, and Rule Acquisition Corporation.
