DIRECTORS OF THE HILLHAVEN CORPORATION.
ON MARCH 17, 1995, MR. GUY P. WYSER-PRATTE, PRESIDENT OF WYSER-
PRATTE & CO., ANNOUNCED THAT HE HAS DECIDED TO NOMINATE MR.
WILLIAM FRAZIER OF HUNTINGTON, WEST VIRGINIA AS AN INDEPENDENT
DIRECTOR TO THE BOARD OF THE HILLHAVEN CORPORATION FOR THE 1995
ANNUAL MEETING OF THE STOCKHOLDERS.
MR. WYSER-PRATTE OWNS DIRECTLY 10,000 SHARES OF COMMON STOCK OF
THE HILLHAVEN CORPORATION. IN ADDITION, MR. WYSER-PRATTE MAY BE
DEEMED BENEFICIAL OWNER OF AN AGGREGATE OF 359,000 SHARES OF
COMMON STOCK OF THE HILLHAVEN CORPORATION OWNED BY INVESTMENT
PARTNERSHIPS AND OTHER MANAGED ACCOUNTS FOR WHICH AFFILIATES OF
WYSER-PRATTE & CO. ARE THE GENERAL PARTNER OR INVESTMENT
