PROSPECTUS SUPPLEMENT TO PROSPECTUS DATED APRIL 20, 1993, OF
SOUTHEASTERN MICHIGAN GAS ENTERPRISES, INC. (THE "COMPANY"),
RELATING TO THE COMPANY'S DIVIDEND REINVESTMENT AND COMMON STOCK
PURCHASE PLAN (THE "PLAN")
Changes in the Plan
On December 8, 1994, the Company's Board of Directors
authorized the following changes, which become effective in
January 1995:
Reduction Of Optional Cash Payments
The opportunity to invest by making optional cash payments
is reduced to a maximum of $5,000 per month. Cash dividends will
continue to be reinvested. An optional cash payment may be
withdrawn any time before it is invested which is expected to
occur on or before the fifteenth of the applicable month.
Source of shares Purchased Under The Plan
Shares to be issued through the Plan will generally be
purchased on the open market. It is expected that newly issued
shares will be purchased from the Company only when it is not
feasible to make open market purchases.
Price Of Shares Purchased Under The Plan
The price shareholders will pay for shares purchased under
the Plan will be a) for shares purchased on the open market, the
average price paid for such shares, including $.10 to cover
brokerage commissions and administrative expenses and b) for
newly issued shares, the average of the five closing bid prices
for such shares on the over-the-counter market for the five
trading days prior to the fifth day of the month in which they
are issued. Any fraction of a cent will be rounded.
Administration
The Company will continue to administer the Plan except that
the Company will select a securities broker dealer who is a
market maker in the Company's common stock to effect the
purchase of shares in the open market.
