Notification
Duke Power Company, a North Carolina corporation ("Duke"),
acting on behalf of Duke Guemes Operating Corp., a Delaware corporation
("Operating Corp."), herewith notifies the Securities and Exchange Commission
(the "Commission") that Operating Corp. proposes to become a foreign utility
company pursuant to Section 33(a) of the Public Utility Holding Company Act of
1935, as amended (the "Act"). Accordingly Duke claims foreign utility company
status for Operating Corp. under the Act.

Name and Business Address:

Facilities:
Operating Corp. will assist Powerco Services S.A., an
Argentine corporation ("Powerco Services"), in operating the Guemes Power
Station in the Province of Salta, Argentina. The Guemes Power Station consists
of two 60 MW gas fired units and one 125 MW gas fired unit. Energy and
capacity are sold from the Guemes Power Station on a competitive spot market
basis and under term agreements in accordance with dispatch instructions from a
central dispatch center.

Powerco Services will continue to be the qualified operator of
the Guemes Power Station and accordingly will retain its status as a foreign
utility company pursuant to the Act.
Ownership:
All of the outstanding voting stock of Operating Corp. is
owned by Duke Guemes, Inc., which is a wholly-owned subsidiary of Duke Energy
Group, Inc., a Delaware corporation, which is a wholly-owned subsidiary of
Church Street Capital Corp., a Delaware corporation, which in turn is a
wholly-owned subsidiary of Duke.
ITEM 2
Domestic Associate Public-Utility Companies of Operating Corp.
and their Relationship to Operating Corp.:
Duke and Nantahala Power & Light Co. ("Nantahala") are
domestic associate public-utility companies of Operating Corp., with Duke being
the holding company. Duke's relationship to Operating Corp. is that it
indirectly owns all of the capital stock of Operating Corp. through
wholly-owned subsidiaries. Nantahala is a wholly-owned public-utility
subsidiary of Duke. Nantahala will not be involved in any way in the
ownership, management, operation or maintenance of Operating Corp. or of the
Guemes Power Station.

The addition of Operating Corp. as an operator of the Guemes
Power Station will not involve any payment of a purchase price by either of the
aforementioned domestic associate public-utility companies with respect to an
interest in Operating Corp.
