The Interest Payment Dates for the Notes are May 30 and November 30, beginning
November 30, 1995, and the Regular Record Dates for the Notes are the May 15
and November 15 next preceding each Interest Payment Date. The Notes may be
redeemed, in whole but not in part, at the option of the Company, on November
30, 1996 (the Initial Redemption Date) or any subsequent Interest Payment Date,
at the Redemption Price of 100% of the principal amount thereof plus accrued
interest to the Redemption Date. The Notes will be issued as Book-Entry Notes.
The Notes are being purchased by the Underwriter, J.P. Morgan Securities Inc.,
as principal for its own account.
