Due to delays in obtaining information vital to the evaluation and
analysis of the Company's hydrocarbon reserves, estimates cannot be completed

ATTACHMENT OF FORM 12b-25, PART IV, (3)
Apco Argentina Inc. will report 1994 net income of $8.2 million, compared with
1993 reported net income of $9.3 million. The decrease in net income is the
result of increases in operating expense and depreciation, depletion and
amortization expense, partially offset by an increase in operating revenues and
decreases in exploration expense and argentine taxes.
