reporting person's spouse is Chairman of the Board and Chief Executive
Officer of the
Issuer.
(2) These shares are held by the reporting person's spouse indirectly through
the Issuer's ESOP Trust.
(3) The reporting person disclaims beneficial ownership of these securities,
and this report shall not be deemed an admission that the reporting
person is the beneficial owner of such securities for purposes of Section 16 or
