The following disclosure is added as a new paragraph in each of the
captioned Fund prospectuses under the section entitled "Purchase of Fund
Shares":
Effective on or about June 1, 1994, the Fund intends to suspend
indefinitely the offering of its shares to new investors. Current
shareholders will continue to be able to purchase additional Fund shares.
Automatic reinvestment of dividends and distributions, and other existing
shareholder services such as the Systematic Withdrawal Plan, EasyInvestSM
and the Exchange Privilege, will not be affected.
