Through March 30, 2000, management and other resources of the Registrant have
been occupied with negotiating a new credit facility which is critical to the
Registrant's business. This has resulted in the Registrant's inability to file
its Form 10-K on the due date without unreasonable effort and expense.

The Registrant expects to report net income of approximately $1.2 million
for the year ended December 31, 1999 as compared to a net loss of $8.7 million
for 1998. 1999 net income includes a $4.8 million after tax gain from the sale
of oil and gas producing properties. Revenues decreased by $0.6 million mainly
due to divestitures of oil and gas properties during the first quarter of 1999,
which was partially offset by higher product prices for 1999. Revenue less
operating expense was vertically unchanged in 1999 as compared to the prior
period. In addition, the Registrant is expected to report lower 1999 expenses
for the following expense categories: general and administrative, exploration,
impairment of oil and gas properties, and depreciation, depletion and
amortization.
