The Application/Declaration on Form U-1 of Ocean State
Power ("OSP") and Ocean State Power_II ("OSP_II") (OSP and OSP_II,
collectively, the "Applicants"), Commission File No. 70-8373, filed on March
8, 1994, is hereby amended as follows:
1. Delete in Item 1., "Description of the Proposed Transaction,"
the second sentence of said Item 1 in its entirety.
2. Delete Item 1.B.2., "Exemption from Competitive Bidding," in
its entirety.
3. Delete in Item 3., "Applicable Statutory Provisions," the
first and second sentences of said Item 3 and substitute in lieu thereof the
following:
"Sections 6(a) and 7 of the Act and Rule 54 are
applicable to the issuances of the Revolver Notes
pursuant to the Revolver Note Agreement."
