As set forth in Item 5 of the Form 8-K filed contemporaneously with this
Form 12B-25, the Registrant is facing financial uncertainties. As a result
of attempting to address the uncertainties, the Registrant was not able to
complete the disclosures required by the instructions to Form 10-K and is unable
to file its Form 10-K in a timely manner on or before July 29, 1997.
