          Through additional acquisitions of Shares made progressively
          since December 4, 1997, the Reporting Person acquired an
          additional 880,000 Shares as of August 20, 1999.  The Shares
          were acquired with working capital.

          The Shares were acquired for investment purposes.

Item 5.   Interest in Securities of the Issuer

          (a)  1,117,000 Shares of Common Stock (17.63%) beneficially
          owned.

          (b)  Number of Shares as to which there is sole power to vote
          - 1,117,000; shared power to direct the vote - 0; sole power
          to direct the disposition - 1,117,000; shared power to direct
          the disposition - 0.

          (c)  On August 20, 1999, the Reporting Person was issued
          600,000 Shares for $750,000 pursuant to an offering by the
          Issuer under Regulation S to qualified non-U.S. investors.
          The other purchases of Shares made by the Reporting Person
          since the Schedule 13D dated December 4, 1997 were made in
          the open market in smaller amounts ranging from 1,000 to
          30,000 Shares at prices ranging from $0.5112 to $1.7082.  The
          most recent purchase prior to August 20, 1999 was on May 21,
          1999.
