Supplement to Prospectus dated May 1, 1996

On July 31, 1996, the Board of Directors of the fund authorized
the fund to increase its investments in Loan Participations and
Assignments from 10% to 20% of total assets. The new 20%
limitation amends the operating policy under the heading "Loan
Participations and Assignments" appearing on page 23 of the
prospectus.
