                                 1995 APPENDIX

             TO PROSPECTUS FOR OFFERS AND SALES OF COMMON STOCK OF
                 CHURCH & DWIGHT CO., INC. UNDER STOCK OPTIONS
                 GRANTED PURSUANT TO THE 1983 STOCK OPTION PLAN


                 This Appendix to the Prospectus dated June 30, 1986 (the
"Prospectus"), relating to the offer of shares of Common Stock, $1.00 par
value, of Church & Dwight Co., Inc. (the "Company"), under stock options
granted pursuant to the Company's 1983 Stock Option Plan, contains certain
current information that may change from time to time.  The Appendix will be
updated annually, or as otherwise required, and will be delivered to each
optionee under the Plan.  Each current Appendix should be kept with the
Prospectus.  The information set forth herein supplements, and should be read
in conjunction with, the Prospectus.  Optionees receiving the Prospectus will
not be sent additional copies of the Prospectus unless the Prospectus is
required to be amended or unless an optionee requests an additional copy by
writing to the Secretary, Church & Dwight Co., Inc., 469 North Harrison Street,
Princeton, New Jersey 08540.  Capitalized defined terms used in this Appendix
have the meanings set forth in the Prospectus.

                 1.       Date.  The date of this Appendix is June 1, 1995.

                 2.       Eligibility and Participation.  As of April 30, 1995,
approximately 163 persons were full-time key management employees (including
directors and officers) of the Company and its subsidiaries thereby being
eligible, in the discretion of the Committee, to receive Options.  As of April
30, 1995, outstanding Options to purchase an aggregate of 1,251,188 shares of
Common Stock had been granted to 158 employees.  Of the Options which have been
granted, Options to purchase an aggregate of 595,988 shares of Common Stock
have vested and are presently exercisable.

                 3.       Information Regarding the Purchase of Securities
Pursuant to the Plan.  The following table sets forth information, for the time
period November 25, 1993 through April 30, 1995, for all optionees
participating in the Plan, as to (1) the dates of Options granted, (2) the
current number of optionees to whom Options have been granted, (3) the number
of outstanding Options granted on such dates, (4) the dates outstanding Options
become or became fully exercisable, (5) the per share exercise price (i.e.,
fair market value of a share of Common Stock on the date granted) and (6) the
expiration dates of the outstanding Options:
