HOW THE FUND IS MANAGED
MANAGER
Effective April 1996, Peter J. Allegrini, a Managing Director of Prudential
Mutual Fund Investment Management (PMFIM), a unit of The Prudential Investment
Corporation (PIC), and Olga B. Emanuel, a Vice President and Senior Portfolio
Manager of PMFIM, became co-managers of the Fund and share responsibility for
the day-to-day management of the Fund's portfolio.
Mr. Allegrini has been employed by PIC as a portfolio manager since July
1994 and serves as the portfolio manager of a number of other portfolios managed
by PIC. He was employed by Fidelity Investments from 1982 to 1985 as a senior
bond analyst and from 1985 to 1994 as a portfolio manager, most recently of
Fidelity Adviser High Income Municipal Fund.
Ms. Emanuel has been employed by PIC as a portfolio manager since 1987 and
serves as the portfolio manager for institutional accounts, including the
municipal bond investments for subsidiaries of The Prudential Insurance Company
of America. Ms. Emanuel has over 20 years experience in economic and
fixed-income analysis and portfolio management in a broad scope of fixed-income
instruments.
