Item 2. Acquisition or Disposition of Assets
On November 20, 1996, the Registrant announced that it has commenced an offer to
purchase 45 percent of the limited partnership units of Marriott Hotel
Properties Limited Partnership ("MHP"). MHP owns the Marriott Orlando World
Center and a 50.5% interest in a partnership that owns the Marriott Harbor Beach
Resort. A copy of the press release is included as an exhibit.
