Reference is hereby made to (i) the Application/Declaration
on Form U-1, as amended, filed by Public Service Company of New
Hampshire ("PSNH") in the above-referenced proceeding (the
"Declaration"), including Post-Effective Amendment No. 1 thereto
("Post-Effective Amendment No. 1"), and (ii) the Order of the
Securities and Exchange Commission (the "SEC") set forth in
Release No. 35-25923 (November 12, 1993) permitting Post-
Effective Amendment No. 1 to become effective (the "Post-
Effective Order"). Capitalized terms used herein and not
otherwise defined are used as defined in the Declaration.
Effective January 1, 1994, the annual letter of credit
commissions and fronting and participation fees payable by PSNH
under the Barclays Reimbursement Agreement were reduced from an
amount aggregating approximately 0.93740% per annum of the total
amount available to be drawn under the Barclays Letter of Credit
to an amount aggregating approximately 0.78773% per annum of the
total amount available to be drawn under the Barclays Letter of
Credit (which latter amount is equal to approximately 0.81083%
per annum of the amount available to be drawn under the Barclays
Letter of Credit in respect of principal). In all other respects
the original transactions described in the Declaration remain in
full force and effect without modification.
Pursuant to the Public Utility Holding Company Act of 1935,
as amended, and Rule 24(a) thereunder, PSNH hereby certifies that
the fee-reduction transactions described above have been carried

out in accordance with the terms and conditions of and for the
purposes represented by Post-Effective Amendment No. 1, and of
the Post-Effective Order.
