the prescribed time period.
The Annual Report on Form 10-K of Paine Webber Income Properties Three Limited
Partnership (the "Registrant") will not be completed by December 29, 1998, the
last day for a timely filing of such Annual Report for the year ended September
30, 1998.
Additional time is required in order to enable the Registrant to file a complete
report. The Form 10-K for the year ended September 30, 1998 will be filed on or
before January 13, 1999, in accordance with Rule 12b-25(b).
