or the  transition  report  portion  thereof  could  not  be  filed  within  the
prescribed time period.

The Company had emerged from Federal  Bankrupcy Code  Protection on May 8, 2000.
The Company had been  informed  by its  current  Independent  Auditor to utilize
Fresh Start Accounting in accordance with SOP 90-7 as of its  confirmation  date
of May 8, 2000 as reported in it's  annual  report on form 10KSB filed  November
13, 2000.  This Form 10Q will be filed as soon as the Company can recompile it's
books and records to comply with the requirements of SOP 90-7.
